Client Portal Terms
Governing access to project reports and confidential deliverables1. Nature of This Document
The NEXOCON Client Portal is a secure digital delivery mechanism for professional reports, cost plans, and related deliverables produced by NEXOCON Enterprises Inc. under the terms of a signed engagement letter or service agreement (the “Engagement Agreement”).
The professional services relationship between you and NEXOCON — including the scope of work, fees, timelines, professional obligations, and dispute resolution — is governed exclusively by the Engagement Agreement. This document governs only the conditions of access to the portal itself.
The Engagement Agreement governs the work. These terms govern the portal. In the event of any conflict between this document and your Engagement Agreement, the Engagement Agreement takes precedence.
2. Authorized Access
Portal access is granted solely to individuals who have been specifically authorized by NEXOCON in connection with an active engagement. Authorized users include named client representatives, lenders, or project stakeholders identified in the Engagement Agreement or by written instruction from the client.
Your login credentials are personal and non-transferable. You must not share your username or password with any other individual, including colleagues within your organization who have not been separately authorized by NEXOCON. Unauthorized credential sharing constitutes a breach of these terms and will result in immediate access termination.
You must notify NEXOCON immediately at info@nexocon.com if you become aware of any unauthorized use of your credentials or any security breach affecting your account.
Portal access is tied to the duration of the active engagement. NEXOCON reserves the right to terminate or restrict access at any time, including upon completion of the engagement, non-payment of fees, or breach of these terms or the Engagement Agreement.
3. Confidentiality of Reports and Deliverables
All reports, cost plans, schedules, estimates, opinions of probable cost, and other documents made available through the portal (“Deliverables”) are confidential professional work product prepared specifically for your project and engagement.
- Deliverables must not be shared with any party not identified as an authorized recipient in your Engagement Agreement without prior written consent from NEXOCON
- Deliverables must not be reproduced, published, or submitted to any third party — including lenders, regulators, or insurers not named in the Engagement Agreement — without written authorization
- Deliverables must not be used for any purpose other than the project for which they were prepared
- NEXOCON retains all intellectual property rights in the Deliverables. Delivery through the portal does not constitute assignment of copyright or any other intellectual property right
Authorized distribution to named parties — such as a lender specified in the engagement scope — is permitted and does not require additional consent beyond what is already captured in the Engagement Agreement.
4. Nature of Deliverables
Deliverables made available through the Client Portal are professional opinions prepared by NEXOCON Enterprises Inc. in accordance with applicable Canadian quantity surveying standards and the specific scope defined in your Engagement Agreement. They reflect conditions and information available at the time of preparation.
Reports reflect market conditions, design information, and project data available at the time of preparation. NEXOCON does not warrant that estimates, schedules, or cost plans remain accurate if project scope, design, or market conditions change after the report date. Updated reports require a new engagement instruction.
Deliverables are prepared for the sole use of the named client and authorized recipients identified in the Engagement Agreement. Third-party reliance on portal deliverables without NEXOCON’s written consent is not permitted and is at the sole risk of the relying party.
Nothing in any Deliverable constitutes legal advice. For matters involving contractual interpretation, dispute resolution, or regulatory compliance, consult a qualified construction lawyer.
5. Acceptable Use of the Portal
You agree to use the Client Portal only for its intended purpose of accessing Deliverables related to your engagement with NEXOCON. You must not:
- Attempt to access Deliverables, accounts, or data belonging to any other NEXOCON client
- Use automated tools, scripts, or bots to access or scrape portal content
- Attempt to circumvent, disable, or interfere with any security or access control feature of the portal
- Use Deliverables to train, develop, or fine-tune any artificial intelligence or machine learning model
- Take any action that could damage, overload, or impair the portal infrastructure
6. Privacy
Your use of the Client Portal is subject to NEXOCON’s Privacy Policy, which governs how we collect, use, and protect personal information associated with your account. The Privacy Policy is available at nexocon.com/privacy-policy.
7. Governing Law
These Client Portal Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada. Any disputes arising from these terms or your use of the portal shall be subject to the exclusive jurisdiction of the courts of British Columbia, sitting in Vancouver.
Disputes regarding the professional services and Deliverables themselves are governed by the dispute resolution provisions of your Engagement Agreement.
